Open or close your company

Opening a company is easy to get wrong. The entity type you pick changes how much tax you pay and what you are personally on the hook for. It’s worth deciding that with someone who explains both options.

What you need to bring

  • ID for each owner
  • The name you want for the company, and a second choice
  • The address where it will operate

How long it takes

State registration in 1 to 3 business days; the EIN, anywhere from same day to 30 days

If there is anything unusual about your case, we tell you on the call before we start.

How it works

  1. We talk about your case

What you’re going to do, with whom, and how much you expect to bill. The recommendation comes out of that.

  2. We explain LLC or corporation

In plain words, with what each one means for your taxes and for your personal liability.

  3. We register with the state and the IRS

Formation with the state of Florida and the EIN application.

  4. We hand it over and tell you what’s next

The documents, plus the list of annual obligations you have from that day on.

Who it’s for

  • Anyone starting out who wants to do it right from the beginning
  • Anyone already working on their own who needs to make it official
  • Anyone with a company they no longer use that needs closing properly

Questions we get

LLC or corporation?

It depends on how much you’re going to bill, whether you have partners and how you want your profits taxed. It’s the main conversation of the first call, and there is no single answer.

How long does the EIN take?

It depends on which route it has to go through. When the IRS issues it online, it comes the same day. But not every case qualifies for that route, and if it has to be requested by fax or by mail the IRS can take up to 30 days. On the call we tell you which case is yours, so you’re not counting on a number that won’t be there yet.

I don’t use my company anymore. Can I just leave it?

It’s not a good idea. If it isn’t formally closed it keeps generating obligations and penalties, even with no activity and no income.

Do I need a business address?

Registration requires an address and a registered agent in the state. We look at that based on your situation.
